VANCOUVER, BRITISH COLUMBIA -- (Marketwire) -- 12/12/12 -- Blue Gold Mining Inc. ("Blue Gold") (TSX VENTURE:BGX) and Riverstone Resources Inc. ("Riverstone") (TSX VENTURE:RVS)(OTCQX:RVREF)(FRANKFURT:3RV) are pleased to announce that at an annual and special meeting held today, Blue Gold's shareholders unanimously approved the previously announced plan of arrangement (the "Arrangement") between Blue Gold and Riverstone. Under the terms of the Arrangement, Blue Gold shareholders will receive 0.801 of a common share of Riverstone (each whole common share, a "Riverstone Share") for each Blue Gold common share ("Blue Gold Share") held. The special resolution approving the Arrangement was approved by 100% of the votes cast by shareholders of Blue Gold present in person or represented by proxy at the meeting. The hearing for the final order to approve the Arrangement is scheduled to take place on December 13, 2012, and the completion of the Arrangement is expected to occur on December 17, 2012, following which Blue Gold's Shares will be delisted from the TSX Venture Exchange.

The combined company will have promising gold exploration and development projects in mining-friendly Burkina Faso, approximately $18 million in cash, and proven capabilities in engineering, mine exploration and development, and the capital markets.

Further details regarding the terms of the Arrangement are set out in Blue Gold's management information circular dated November 9, 2012, which is available under Blue Gold's profile at www.sedar.com.
