Under the terms of the transaction, Acme shareholders will receive $29.95 for each share of Acme stock they own. The transaction has a total approximate value of $2.1 billion. The investigation concerns whether the Acme Board of Directors breached their fiduciary duties to Acme stockholders by failing to adequately shop the Company before entering into this transaction and whether Oracle Corporation is underpaying for Acme shares, thus unlawfully harming Acme stockholders.
