Talmer Bancorp, Inc. Prices Initial Public Offering

TROY, Mich., Feb. 11, 2014 /PRNewswire/ -- Talmer Bancorp, Inc. (the "Company") (NASDAQ: TLMR) today announced the pricing of its initial public offering of 15,555,555 shares of Class A common stock at a public offering price of $13.00 per share. Of the 15,555,555 shares sold, 3,703,703 shares were sold by the Company and 11,851,852 shares were sold by certain selling shareholders. In addition, the selling shareholders have granted the underwriters a 30-day option to purchase up to an additional 2,333,333 shares of Class A common stock to cover over-allotments, if any.  The proceeds to the Company from the sale of shares are expected to be approximately $42.5 million, after deducting the underwriting discounts and commissions and estimated offering expenses. The Company will not receive any proceeds from the sale of shares by the selling shareholders.  The Company's Class A common stock is expected to begin trading on the NASDAQ Capital Market under the symbol "TLMR" on February 12, 2014.  The closing of the offering is expected to occur on February 14, 2014, subject to the satisfaction of customary closing conditions.
