On March 4, 2014, Bankrate, Inc. (Bankrate) announced the pricing of its secondary public offering of Company's common stock by Ben Holding S.a r.l. (Selling Stockholder), an entity wholly owned by investment funds advised by Apax Partners, at $18.25 per share. According to Bankrate, 14.0 million shares are being sold by the Selling Stockholder in the offering, with the underwriters having the option to purchase up to an additional 2.1 million shares of common stock from the Selling Stockholder for 30 days. The Company added that it not selling any shares and will not receive any proceeds from the proposed offering, and it will not change the number of shares of Bankrate's common stock that are currently outstanding.
