SeaWorld Entertainment, Inc. Announces Pricing Of Secondary Offering

ORLANDO, Fla., April 3, 2014 /PRNewswire/ -- SeaWorld Entertainment, Inc. ("SeaWorld Entertainment"), a leading theme park and entertainment company, today announced the pricing of an offering by the selling stockholders affiliated with The Blackstone Group L.P. The selling stockholders are offering 15,000,000 shares of SeaWorld Entertainment's common stock at a price of $30.00 per share.  In addition, the selling stockholders have granted the underwriters a 30-day option to purchase up to an additional 2,250,000 shares from the selling stockholders.

The selling stockholders will receive all of the net proceeds from the offering. No shares are being sold by SeaWorld Entertainment.

The offering is expected to close on April 9, 2014, subject to customary closing conditions.

Goldman, Sachs & Co. and J.P. Morgan are acting as joint bookrunning managers and as representatives of the underwriters in the offering.  Deutsche Bank Securities, BofA Merrill Lynch, Barclays, Citigroup and Wells Fargo Securities are also bookrunners in the offering. Blackstone Capital Markets, Macquarie Capital, Lazard Capital Markets, KeyBanc Capital Markets, Piper Jaffray, Drexel Hamilton, Ramirez & Co., Inc. and Telsey Advisory Group are acting as co-managers in the offering.
