WITCHITA, Kan., April 10, 2014 /PRNewswire/ -- The Board of Directors of USA Real Estate Holding Company (OTB Pink: USTC) today updates its shareholders as to current status and future plans. Our financial disclosure to maintain OTC Link status as Current Pink Tier are about to be published ahead of our deadline of April 30.
On November 29, 2013 the Company filed a Form 15-15d/A which is a Certification And Notice Of Termination Of Registration Under Section 12(G) Of The Securities Exchange Act Of 1934 Or Suspension Of Duty To File Reports Under Sections 13 And 15(D) Of The Securities Exchange Act Of 1934. Thereby the Registrant has ceased its reporting requirements as a registered company under the Exchange Act of 1934. We intend to become a full reporting company again under the Exchange Act in the coming years.
On December 16, 2013 the Company filed Interim Financial Statements for those delinquent periods for FYE December 31, 2012 and 2011. We filed the Financial Statements for Q3 FY 2013 ended September 30, 2013 on time.
USA Real Estate Holding Company was incorporated in the State of Delaware on February 3, 2009. The Company was formed for the purpose of investing in real estate. The Company selected December 31 as its fiscal year end.
We are a development-stage company with the intent to purchase commercial or other real estate properties, including the land, on which are located retail stores. Our plan calls for us to then lease back the property we purchased to the retailers who operate upon it. Our goal is ultimately to own a portfolio of commercial properties, leased out to the retailers who operate out of each respective property.
As part of our new Business Plan we will be investing in Limited Partnerships designed to produce income. Real property as well as Oil & Gas and the HOT New Sector Cannabis. We are negotiating on land in states that allow Medical MJ, and the legalized states of Colorado and Washington.
There will be management and board of director changes and additions in the coming months and announcements of the projects we have started or acquired.
