TechTarget, Inc. (NASDAQ: TTGT) today announced the commencement of an underwritten public offering of 5,000,000 shares of its common stock on behalf of entities affiliated with Technology Crossover Ventures and Polaris Venture Partners (collectively, the “Selling Stockholders”). The underwriters of the offering have been granted a 30-day option to purchase up to 750,000 additional shares from the Selling Stockholders. The Selling Stockholders will receive all the proceeds from the underwritten offering; no shares in the underwritten offering are being sold by TechTarget or any of its officers or directors.
Jefferies LLC is acting as the sole book-running manager for the offering. Needham & Company, LLC and Craig-Hallum Capital Group LLC are acting as co-managers.
