CSC Holdings LLC, a subsidiary of Cablevision Systems Corporation (NYSE:CVC), today announced that it has priced an offering of $750 million in aggregate principal amount of 5.25% senior notes due 2024. The offering is expected to close on May 23, 2014, subject to customary closing conditions.
CSC Holdings intends to use the net proceeds of this offering and cash on hand to repay a portion of its existing credit facility.
The notes are being offered inside the United States to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act.
The notes have not been registered under the Securities Act or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.
