BENEV Capital Inc. Announces Receipt of Director Nominees from Difference Capital Financial Inc. and Confirms Corporate Strategic Direction

VANCOUVER, BRITISH COLUMBIA -- (Marketwired) -- 05/27/14 -- BENEV Capital Inc. (TSX VENTURE: BEV.H) (the "Corporation" or "BCI") confirmed that it has received from Difference Capital Financial Inc. ("DCF") information regarding five (5) proposed director nominees. BCI is reviewing this information and will assess whether it complies with BCI's advance notice by-law, recently approved by shareholders.

As BCI announced last week, its Board has approved a corporate strategy to purchase, primarily, top-line royalty streams from a number of growing Canadian multi-location businesses and franchisors. The structure of the royalty acquisitions is expected to be similar to other successful, publicly traded top-line multi-location business royalty companies.

The BCI Board has concluded that a multi-royalty structure would be a good value enhancing strategy for BCI. If BCI successfully completes a royalty transaction, it would be BCI's intention to thereafter pay out substantially all of its distributable cash to shareholders, as is the case with similar publicly traded issuers.

BCI believes there are numerous growing Canadian multi-location businesses and franchisors that would be interested in this type of transaction and that it would be able to acquire those royalties on an accretive basis.

DCF's news release, issued yesterday, claimed inaccurately that BCI announced a dramatic shift in strategy and that it was made without consultation with the Corporation's major shareholders, including DCF. That is simply not true. Firstly, there has been no dramatic shift in BCI's strategy. BCI has been pursuing a transformative transaction for several years, with a preference on acquiring an income producing asset. Last week's press release simply provided BCI's shareholders with some clarity on our Corporate Strategic Direction with respect to acquiring an income producing asset. Secondly, the Corporation did consult with shareholders, including DCF and several other significant shareholders, prior to the announcement of its Corporate Strategic Direction.

In addition, for several months, DCF has been invited to present a proposed transaction to the BCI Board. No coherent or well thought-out proposal has been presented by DCF.

Furthermore, as BCI has already announced, the completion of any proposed transformative transaction would be subject to BCI shareholder approval.
