Arena Minerals Announces Private Placement Financing of $2,000,000

TORONTO, ONTARIO -- (Marketwired) -- 06/27/14 -- Arena Minerals Inc. ("Arena" or the "Company") (TSX VENTURE:AN) announces that it intends to complete a non-brokered private placement financing of units of the Company (the "Units") at a price of $0.20 per Unit for gross proceeds of $2,000,000 (the "Offering"). Each Unit shall consist of one common share of the Company (a "Common Share") and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the holder to acquire one Common Share of the Company at $0.35 for a period of 24 months from the date of issuance. If at any time after the expiry of the regulatory hold period, the Common Shares of the Company trade at $0.55 per share or higher on the TSX Venture Exchange, on a volume weighted adjusted basis for a period of 30 days, the Company will have the right to accelerate the expiry date of the Warrants to the date that is 30 days after the Company issues a news release announcing that it has elected to exercise the acceleration right.

The Company intends to use the net proceeds of the Offering to continue the development of its Atacama Copper property and the Pampas El Penon properties located in the Antofagasta region of northern Chile, and for general corporate purposes.

The Company may, subject to additional interest received, increase the size of the private placement to include other existing and new accredited investors. The Company may pay finder's fees in accordance with the rules and policies of the TSX Venture Exchange consisting of a cash commission equal to 6% of the gross proceeds raised under the Offering and finder's warrants ("Finder's Warrants") in an amount equal to 6% of the total number of Units sold pursuant to the Offering. Each Finder's Warrant will entitle the holder thereof to purchase one Common Share of the Company at a price of $0.25 per Unit for a period of 18 months following the date of issuance.

The Common Shares, Warrants, the Finder's Warrants and shares underlying the Warrants and the Finder's Warrants will be subject to a four month and one day statutory hold period. Closing of the private placement transaction remains subject to the receipt of all regulatory approvals, including the approval of the TSX Venture Exchange.
