CALGARY, ALBERTA -- (Marketwired) -- 07/03/14 -- Walmer Capital Corp. (TSX VENTURE:WAL.P) (the "Company"), a capital pool company as defined under Policy 2.4 - Capital Pool Companies of the TSX Venture Exchange, is pleased to announce that each of the matters set out in the Company's management information circular dated May 30, 2014 (the "Circular") for the annual and special meeting of shareholders held June 30, 2014 (the "Meeting") were approved by the requisite majority of shareholders. In particular, the Company received shareholder approval, excluding the shareholdings held by non-arm's length parties, to the transfer of its listing to the NEX board of the TSX Venture Exchange (the "Exchange") to list on NEX by August 6, 2014, or such later date as may be agreed to by the Exchange, should the Company not be able to complete its previously announced proposed Qualifying Transaction by that date. The Company also received shareholder approval to cancel 1,000,000 common shares of the Company issued by the Company as seed shares before its initial public offering should the transfer of the listing to NEX be necessary and approval by special resolution to change the name of the Company to "Walmer Corporation" or such other name as the Board may determine.
Further, each of the director nominees listed in the Circular were elected as directors of the Company. As such, James Richardson, Peter Andrews and Peter Bloch will continue as directors of the Company and two new director nominees, Kevin McElcheran and Aaron Hammer, have joined the Board effective June 30, 2014.
