VANCOUVER, BRITISH COLUMBIA -- (Marketwired) -- 07/08/14 -- July 8, 2014 - PNI Digital Media Inc. ("PNI") (TSX:PN)(OTCQX:PNDMF), a leading innovator in digital media solutions for retailers, is pleased to announce that PNI's shareholders have approved the previously announced arrangement (the "Arrangement") with Staples, Inc. ("Staples") pursuant to which, among other things, Staples will acquire, through its wholly-owned subsidiary Staples Canada Acquisition ULC, all of the issued and outstanding common shares of PNI for $1.70 in cash per common share. PNI's shareholders met at a special meeting earlier today in Vancouver and voted 99.03% in favour of the Arrangement. The Arrangement was also approved by 99.01% of the votes cast at the Special Meeting excluding the votes cast by any PNI shareholders that were required to be excluded in order to obtain "minority approval" pursuant to Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions. Shareholder approval of the Arrangement was a condition to the completion of the Arrangement.
PNI is seeking a final order (the "Final Order") of the Supreme Court of British Columbia to approve the Arrangement, which is expected to be granted on July 10, 2014. Once the Final Order is received, the Arrangement is expected to be completed on or about July 11, 2014.
In order to receive their consideration under the Arrangement, PNI's shareholders should follow the instructions that are set out in PNI's Notice of Special Meeting and Management Information Circular dated June 4, 2014, available under PNI's profile on SEDAR at www.sedar.com.

Web Real-Time Communication APIs have quickly revolutionized what browsers are capable of. In addition to video and audio streams, we can now bi-directionally send arbitrary data over WebRTC's PeerConnection Data Channels. With the advent of Progressive Web Apps and new hardware APIs such as WebBluetooh and WebUSB, we can finally enable users to stitch together the Internet of Things directly from their browsers while communicating privately and securely in a decentralized way.
