CHC Realty Capital Corp. Announces Further Details on Private Placement

TORONTO, ONTARIO -- (Marketwired) -- 07/16/14 -- CHC Realty Capital Corp. ("CHC" or the "Company") (TSX VENTURE:CHC) wishes to announce that it has established a price of $0.11 per subscription receipt for its proposed non-brokered private placement disclosed in its press release dated July 3, 2014. Under the placement, the Company intends to issue approximately 72,727,272 subscription receipts to raise approximately $8.0 million. As previously disclosed, the Company intends to use the net proceeds of the private placement to complete the Company's proposed acquisitions of student housing properties in Windsor, Ontario and Trois-Rivieres, Quebec, and for general corporate purposes.

The subscription receipts will be offered by way of private placement in all of the provinces of Canada, and in jurisdictions outside of Canada, provided that no prospectus filing or comparable obligation arises in such jurisdictions. Pursuant to applicable Canadian securities laws, all securities issued pursuant to the private placement will be subject to a statutory hold period expiring on the date that is four months and a day from the closing of the private placement.

The private placement is expected to close on or about July 31, 2014. Closing is subject to certain conditions including, but not limited to, the receipt of all necessary approvals including the approval of the TSXV. Subject to TSXV approval, the Company may pay finder's fees consisting of cash from the proceeds of the proposed private placement.
