TSX Venture Exchange has accepted for filing documentation pursuant to a Share Purchase Agreement dated August 8, 2014 (the "Agreement"), between the Company and three arm's length parties (the "Vendors).  As per terms of the Agreement, the Company has agreed to acquire all the issued and outstanding shares of Praxis Transportation Solutions Inc. ("Praxis"), a private company, located in Edmonton, Alberta, engaged in the business of providing advisory services relating to commercial vehicles and commercial driver safety compliance. In consideration, the Company will pay up to an aggregate of $3,275,000 to the Vendors, comprised of: (i) $300,000 payable in cash on the date of closing; (ii) up to $1,975,000 payable in cash as deferred contingent consideration (the "Deferred Payment"), based upon successfully securing a long-term contract with a Class I railroad customer (the "Contract) and determined by the term length and annualized revenue generated by the Contract; and (iii) the issuance of up to 500,000 common shares of the Company ("Shares") at a deemed price equal to the August 8, 2014 closing price of $2.00 per Share (the "Earn-out Payments").  The Earn-out Payments will be placed in escrow pursuant to a voluntary escrow agreement and will be released over a period of six years from closing (the "Earn-out Period") provided Praxis meets certain driver compliance revenue targets (the "Targets") under the Agreement.  An Earn-out Payment can only be achieved once and must be completed within the Earn-out Period. If the Targets are not met, the Shares associated with an Earn-out Payment are forfeited. If the Contract is not awarded, the right to the Deferred Payment is forfeited.
