On August 26, 2014, Liberty Global plc (Liberty Global) announced an update on its previously announced recommended public offer to acquire all the issued and outstanding shares in Ziggo N.V. ("Ziggo"). Liberty Global informed that while it remains confident that it will secure the requisite competition approval for the deal, it expects the offer period will have to be extended beyond the September 10, 2014 deadline owing to an expected delay in receiving the approval. Liberty Global stated that the European Commission has set a deadline of November 3, 2014 to review the deal. According to a Bloomberg report dated August 26, 2014, citing insiders who are familiar with the deal, in order to win the European Union approval for the acquisition of Ziggo, the Company has: agreed to sell its Film 1 premium channel; promised to maintain access for so-called over-the-top operators such as Netflix Inc., and; pledged not to discriminate against rivals that buy its content.
