OKLAHOMA CITY, Sept. 3, 2014 /PRNewswire/ -- American Energy -- Woodford, LLC (AEW), an affiliate of American Energy Partners, LP (AELP), announced today that it intends to offer $325 million of senior unsecured notes due in 2022 (Notes) in an unregistered offering exempt from the registration requirements of the Securities Act of 1933.
The net proceeds from the offering of the Notes will be used for a variety of purposes, potentially including funding additional leasehold acquisitions, repaying all outstanding borrowings under the company's Revolving Credit Facility, making a distribution to the Sponsors, paying related fees and expenses and for general corporate purposes.
The Notes have not been registered under the Securities Act of 1933, as amended (Securities Act), or the securities laws of any other state or jurisdiction, and may not be offered or sold without registration or an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable securities laws. The Notes will be offered only to qualified institutional buyers under Rule 144A and to persons outside the United States under Regulation S.
