American Home Shield Acquires OneGuard Home Warranties

Move Demonstrates Commitment to Growth and Market Expansion

MEMPHIS, TN--(Marketwired - June 27, 2016) - American Home Shield, the largest home warranty company in the nation and a business unit of ServiceMaster Global Holdings, Inc. (NYSE: SERV), today announced an important strategic expansion with the acquisition of OneGuard Home Warranties. The acquisition is an important milestone in the ServiceMaster growth strategy and expands the company's footprint in three highly competitive and important states: Texas, Arizona and Nevada.

Based in Phoenix, OneGuard has provided unique, high-quality home warranties and value-added services to customers since 1990. The company was named to the Inc. 5000 list of America's Fastest-Growing Private Companies in 2015 and just this month, was named to azcentral.com's 2016 list of Top Companies to Work for in Arizona.

OneGuard will continue to be in-market with its current brand identity and product offerings, and its leadership team remains in place. It has approximately 125 employees, most of whom are located at the company's headquarters and customer service center in Phoenix.

Jason Bailey, vice president of mergers and acquisitions for ServiceMaster, noted that acquisitions were an important tenet of the company's growth strategy and that the company continually searches for those with respected brands, a legacy of quality service and strong customer relationships.

It is the first American Home Shield acquisition since acquiring HSA Home Warranty, based in Madison, Wisc., in 2014. The acquisition continues the ServiceMaster growth strategy of organic growth, new services and acquisitions. In the past 12 months, ServiceMaster has also acquired the assets of other well-known residential and commercial services companies in North America that have been folded into its Terminix termite and pest control businesses, including Alterra, Catseye Pest Control, and Capelouto Termite and Pest Control.
